Role and Responsibilities
- Organizing and conducting Board/Committee meetings and annual/extraordinary general meetings (AGMs/EGMs) in accordance with the Companies Act 2013.
- Preparation and timely circulation of Board/Committee meeting minutes within prescribed timelines.
- Issuing notices and agendas for Board/Committee meetings along with annexures within designated timelines, except for meetings held on shorter notice.
- Managing the issuance of securities (Shares/Debentures) and ensuring compliance with relevant regulations including Companies Act, RBI, and FEMA.
- Overseeing event-based and annual compliance requirements and serving as a Compliance Officer.
- Reviewing Corporate Agreements such as Non-Disclosure Agreements, Share Purchase Agreements, Share Subscription Agreements, Shareholders Agreements, etc., to ensure compliance with applicable laws and regulations.
- Maintaining and updating relevant statutory books, including registers of members, directors, and secretaries as required by the Companies Act, on a timely basis.
- Handling correspondence, compiling information, and preparing various reports.
- Preparing and filing necessary e-forms/returns with MCA/ROC/other Statutory/Regulatory Authorities in a timely manner.
- Ensuring timely filing of intimation/returns to various statutory or regulatory authorities.
- Coordinating with external parties such as advisers, consultants, lawyers, and auditors, and providing necessary documents and information.
- Managing applications for ISIN/Demat account opening/closing.
- Overseeing dematerialization and rematerialization of securities.
- Providing advance notice to Board/Committee members about attendance requirements under the Companies Act or other applicable laws.
- Offering support to other teams on transactional or regular basis.
- Ensuring timely issuance of all notifications related to Board/Committee members/management within regulatory periods.
- Assisting in due diligence for corporate matters related to potential acquisition targets.
- Managing annual filings with MCA/ROC, RBI, and other authorities.
- Undertaking all activities within the domain ensuring compliance with applicable laws and regulations.
Eligibility
- Bachelor's Degree in Computer Science (CS) with Membership No (mandatory)
- Optional: Bachelor of Laws (LLB)
