Details of the Job/Internship
Lexansh & Co is hiring a Company Secretary for their Noida office. Candidates must have 1-2 years of experience.
Role and Responsibilities
- Coordinate with various stakeholders such as legal teams, auditors, underwriters, and regulatory authorities during the IPO process.
- Ensure Oversee corporate governance and ensure compliance with applicable laws, regulations, and company policies.
- Lead and manage the process of preparing and filing all necessary documentation for the IPO, including the draft red herring prospectus (DRHP) and final prospectus.
- Timely and accurate filing of corporate filings with the Registrar of Companies (RoC) and other relevant regulatory bodies.
- Advise the board of directors on legal and governance matters, ensuring all disclosures are made in compliance with relevant stock exchange regulations.
- Maintain accurate records of board meetings, resolutions, and shareholder communications.
- Develop and implement internal processes and controls to ensure IPO readiness and smooth transition post-IPO.
- Provide ongoing support for post-IPO reporting, including continuous compliance with listing requirements and disclosures.
- Manage shareholder meetings, including AGM and EGM, ensuring statutory filings and resolutions are met.
- Monitor and advise on changes in corporate governance laws, especially those impacting IPOs and SME regulations.
- Liaise with regulators, including SEBI and the stock exchanges, to ensure compliance with all regulatory and listing requirements.
Eligibility
Education & Experience:
- Minimum of 1 years of experience as a Company Secretary.
- Proven experience in handling SME IPOs, from initial planning to successful listing.
- In-depth knowledge of SEBI guidelines, the Companies Act, 2013, and relevant regulations concerning IPOs for SMEs.
- Experience with regulatory bodies such as SEBI, ROC, and stock exchanges.
Skills:
- Strong understanding of corporate governance, financial reporting, and compliance.
- Ability to manage complex documentation and high-pressure timelines.
- Excellent verbal and written communication skills.
- High level of attention to detail and ability to work independently.
- Strong interpersonal skills and experience working with senior management and external stakeholders.
