LR Energy is seeking a Company Secretary with 3 years of experience to work with them in Gurugram location.
Role and Responsibilities
- Provide advisory support to the board of directors on corporate governance matters and legal compliance.
- Organize and attend board meetings, committee meetings, and general meetings, ensuring timely preparation and distribution of documentation.
- Draft, implement, and maintain corporate governance policies and procedures, ensuring compliance with relevant laws and regulations.
- Maintain statutory registers and records as per company law requirements.
- Ensure timely and accurate filings with regulatory authorities.
- Act as the primary liaison for external advisors, including lawyers and auditors, on corporate governance matters.
- Monitor and analyze changes in corporate legislation and provide recommendations on their impact.
- Manage communication with shareholders, handling queries and distributing key information.
- Provide training and guidance to directors, senior management, and staff on corporate governance best practices.
- Assist in the implementation of corporate transactions, including mergers, acquisitions, and reorganizations, ensuring legal and regulatory compliance.
Eligibility
- Bachelor’s degree in Law, Business Administration, or a related field.
- Company Secretary (CS) qualification is mandatory.
- Minimum of 3 years of experience as a Company Secretary or in a similar role, preferably within a publicly listed company.
- Strong understanding of corporate governance principles, company law, SEBI regulations, and regulatory requirements.
- Excellent organizational skills and attention to detail, with the ability to manage multiple tasks and meet deadlines efficiently.
- Strong interpersonal and communication skills, with the ability to interact effectively with directors, senior management, and external stakeholders.
- High level of integrity and professionalism, with the ability to handle confidential and sensitive information.
- Proficiency in MS Office applications and corporate governance software.
- Ability to work independently and collaboratively, with a proactive and solution-oriented mindset.
- Flexibility to adapt to changing priorities and work under pressure in a fast-paced environment.
