Details of the Job/Internship
Micron Electricals is hiring a Company Secretary for their Bengaluru Urban office.
Role and Responsibilities
- Due Diligence Reporting and preparation of Search Reports, coordinating with Practicing Company Secretaries.
- Handling appointments and resignations of Directors under the Companies Act, 2013.
- Managing Share Transfers and ensuring compliance with provisions of the Companies Act.
- Coordinating shifting of Registered Offices from one State to another.
- Drafting and advising on various resolutions under the Companies Act, including EGM Resolutions under section 188.
- Overseeing CSR Policy Amendments, Directors WEB KYC filings, and Share Dematerialisation.
- Handling Related Party Transactions, Loans, Investments, and Guarantees under Sections 186 and 188.
- Preparing and filing E-forms with the ROC, including annual returns and other statutory filings.
- Drafting and advising on Board Meeting and General Meeting Agendas and Minutes.
- Assisting in Compliance while preparing Financials under the Companies Act.
- Managing Unlisted NCD Issuances and Increasing Authorized Share Capital of Companies.
- Handling Director Appointment/Resignation formalities and Regularization at AGM.
- Drafting Notices for AGMs and other resolutions.
- Coordinating with Banks, Consultants, and Practicing Company Secretaries for regulatory matters.
- Advising on the latest updates on the Companies Act, 1956 and 2013, and FEMA-related matters.
Eligibility
Qualified Company Secretry, ICSI.
