Details of the Job/Internship
Pioneer Outsource Services Pvt Ltd is hiring a Semi-Qualified Company Secretary for their IPO Advisory department. The location is Rohini, Delhi.
Role and Responsibilities
Compliance and Governance:
- Prepare and file necessary incorporation documents with the Registrar of Companies (RoC).
- Liaise with regulatory authorities for the completion of company registration formalities.
- Assist in ensuring compliance with the Companies Act, 2013, and other applicable laws.
- Prepare and file statutory returns, documents, and forms with regulatory authorities (MCA, SEBI, etc.).
- Draft and maintain minutes of Board meetings, Committee meetings, and General Meetings.
- Assist in the preparation and filing of annual financial statements and corporate governance reports.
Corporate Secretarial Services:
- Assist in the incorporation of companies, preparation of Memorandum and Articles of Association, and filing with the Registrar of Companies (RoC).
- Assist in the drafting and filing of statutory documents such as applications for director appointments, share capital structuring, and other legal forms under the Companies Act, 2013.
- Prepare necessary filings for commencement of business, including obtaining Certificates of Incorporation.
- Maintain statutory records like the Register of Members, Register of Directors, etc., from the initiation stage.
- Handle the process of share transfer, issue, and allotment of shares, as well as the maintenance of shareholder records.
- Assist in ensuring adherence to the listing requirements of stock exchanges (if applicable).
- Support in corporate restructuring, mergers, acquisitions, and demergers.
- Support in Corporate Action such as Bonus
Legal and Regulatory Assistance:
- Research and provide updates on changes in laws and regulations affecting the company’s operations.
- Assist in preparation for compliance audits and regulatory inspections.
- Liaise with legal advisors, government departments, and statutory bodies for necessary legal filings and documentation.
Investor Relations:
- Assist in responding to shareholder queries and maintaining good relationships with investors.
- Organize and prepare materials for Annual General Meetings (AGMs) and Extraordinary General Meetings (EGMs).
- Ensure compliance with the stock exchange and other regulatory bodies’ disclosure norms.
Company Governance Setup:
- Assist in drafting internal policies and resolutions to be adopted at the inception stage, such as shareholder resolutions, board resolutions, etc.
- Help establish corporate governance structures and ensure that initial meetings are scheduled and documented.
Legal Research & Documentation Support:
- Research the legal framework applicable to the initial stage of the company's operations, including rules governing incorporation, share transfers, and director-related matters.
- Assist the senior management in drafting and reviewing corporate agreements and contracts during the initial phase of operations.
Other Administrative Tasks:
- Maintained company records and managed documentation processes.
- Draft and review contracts and agreements under the guidance of senior legal advisors.
- Assist in other ad-hoc administrative and corporate governance activities as required by the management.
- Assist and communicate with various departments, Clients, Advisors, and team members.
- Prepare the SOP and MOM for Meetings.
- Scrutinize the data and prepare the observation sheet.
- Prepare Analysis Report
Eligibility
Educational Qualification:
- Semi-qualified Company Secretary (pursuing or completing the Executive level of the CS course).
Technical Skills:
- In-depth knowledge of the Companies Act, 2013, and related corporate laws.
- Proficient in regulatory filing processes with RoC and MCA.
- Strong knowledge of the company's registration process, including legal formalities related to GST, PAN, TAN, etc.
- Familiarity with tools used for statutory filings and compliance management (e.g., MCA21 Portal).
- Proficient in Microsoft Office Suite (Excel, Word, PowerPoint).
Soft Skills:
- Excellent organizational and time-management skills.
- Ability to handle multiple tasks simultaneously and meet deadlines.
- Strong verbal and written communication skills for documentation and reporting.
- Detail-oriented with a focus on accuracy.
Experience:
- Minimum of 1-2 years of experience in a corporate governance or compliance role is desirable.
- Experience in handling legal compliance, regulatory filings, and corporate documentation.
