Details of the Job/Internship
Ranfort Wellness is hiring a Company Secretary with a minimum of 5 years of post-qualification experience to join their office in New Delhi.
Role and Responsibilities
- Ensure compliance with the Companies Act, 2013, and other applicable laws.
- Maintain statutory registers, records, and corporate documents.
- Organise and support Board Meetings, Committee Meetings, and AGMs, including preparation of notices, agendas, and minutes.
- Advise the Board and senior management on corporate governance and compliance requirements.
- Ensure adherence to healthcare-related regulations and applicable laws.
- Provide legal and secretarial advice on company formation, restructuring, acquisitions, and corporate actions.
- Assist in drafting, reviewing, and vetting legal agreements, policies, and resolutions.
- Monitor regulatory changes and communicate their impact to management.
- Handle trademarks, MSME compliance, capital increase, allotment of shares, RBI compliance, FCGPR filings, and incorporation of companies and LLPs.
- Support audits, inspections, and regulatory reviews by maintaining accurate compliance records.
Eligibility
- Qualified Company Secretary and member of ICSI.
- Bachelor’s degree in Law, Commerce, Business Administration, or a related field (LL.B. preferred).
- Minimum 5 years of post-qualification experience as a Company Secretary.
- Prior experience in healthcare, wellness, pharmaceutical, or regulated industries preferred.
- Strong knowledge of the Companies Act, corporate governance, and compliance frameworks.
- Excellent drafting, communication, and documentation skills.
- High level of integrity, confidentiality, and attention to detail.
- Ability to work independently and manage multiple compliance timelines.
