Smartmeters Technologies Pvt.Ltd. are a dynamic start-up inspired by Atmanirbhar Bharat (Self – reliant) New India. They introduce our self as Smart Meters Technologies Pvt. Ltd (SMTPL) an Indian manufacturer for Gas Meters with end-to-end solutions and services. they are coming up with a State-of-art manufacturing facility at Gangad, it's approx. 60km from Ahmedabad, Gujarat, India. The plant manufacturing processes will be equipped with ISO9001:2015, ISO27001:2013, and ISO45001: 2018 certifications.

Details of the Job/Internship

Smartmeters Technologies Private Limited (a Joint Venture of Adani Total Gas Limited) is hiring a Company Secretary for their Ahmedabad office.

Role and Responsibilities

• For handling all Corporate Law and Secretarial related matters;
• Conduct of Board, Committees and Shareholder’s Meetings and its pre and post compliances
• Drafting of Notices, Agenda, Resolutions (including circular resolutions) and Preparation of Minutes of Board Meetings, General Meetings, and Committees Meetings.
• Update to Management time to time for any updates of Statutory Compliances.
• Drafting and updating policies of the Company as per statutory requirements;
• Preparation for Incorporation of Company & Limited Liability Partnerships (LLP) and filings with ROC, Central Government/ RD etc;
• Well versed with all the provisions of the Companies Act, 2013 and its allied legislations, rules and regulations.
•  Liaison with Various Statutory Authorities i.e. ROC, Reserve Bank of India, Authorized Dealers, R&T Agents, etc.
• Filling of returns and related documents with the MCA, RBI, Depositories, etc and maintenance of statutory registers
• Preparation of the Director’s report and compilation of data therein for the Annual Report
• Having expertise in Merger/ Amalgamation / Demerger, Due Diligence etc.
• Having expertise for getting Trademarks / Copy Rights / Patents

Eligibility

• Position: Company Secretary
• Qualification: Completed CS with first class (LL.B. / LL.M preferred)
• Experience: 5+ years
