StockGro is hiring a Company Secretary for their Bengaluru office. Candidates must have 2-3 years of experience.
As an Associate - Company Secretary & Legal, you’ll play a critical role in ensuring smooth corporate governance and legal compliance. This is an execution-focused role where you’ll work closely with our Legal & Company Secretary team to handle filings, manage regulatory tasks, draft documents, and ensure adherence to Companies Act, SEBI, FEMA, and more.
Role and Responsibilities
- Assist the Company Secretary/Legal team in routine corporate secretarial tasks, ensuring timely and accurate drafting of documentation, filings, and compliance submissions.
- Prepare and finalize corporate documents such as board/shareholder meeting notices, agendas, minutes, resolutions, directors’ reports, and annual/extraordinary general meeting records.
- Maintain statutory registers and ensure all records are up to date.
- Manage and update the internal contract management database.
- Handle filings, registrations, and submissions of statutory forms/returns with regulatory authorities to ensure full compliance.
- Execute compliance tasks under SEBI regulations, Companies Act, 2013, and secretarial standards as directed by the Company Secretary.
- Monitor and implement weekly regulatory updates to keep company policies compliant with Companies Law, SEBI, RBI, FEMA, etc.
- Conduct FEMA-related compliance tasks, including filings like FCGPR, FCTRS, FLA, and draft basic policy documents as needed.
- Coordinate with stakeholders such as Registrars, Depositories, and Auditors to complete action items.
- Assist in reviewing routine agreements, such as Service Agreements, Consultancy Agreements, and NDAs, ensuring execution protocol compliance.
Eligibility
- A qualified Company Secretary (LL.B. preferred) with 2-3 years of post qualification experience.
- Exceptional drafting skills, sharp attention to detail, and execution prowess.
