Details of the Job/Internship
EZY Laws Advocates and Corporate Legal Advisors is hiring for the position of Compliance Associate with 5 years of experience to join their office in Mumbai.
Role and Responsibilities
Compliance Management:
- Ensure compliance with the Companies Act, 2013, and relevant rules, including Secretarial Standards.
- Manage compliance under AIF Regulations, 2012, SEBI Merchant Bankers Regulations, and IBC, 2016.
- Oversee various SEBI regulations, including LODR, Takeover Code, Insider Trading Code, and Issue of Capital.
- Act as Compliance Officer for AIF, if required.
Corporate Governance:
- Organize and conduct Board, Committee, General Meetings, and CoC Meetings under IBC.
- Draft and manage Notices, Agendas, and Minutes for Board and CoC meetings.
- Prepare Director’s Reports, including Corporate Governance Reports.
- Review and recommend policy changes under Companies Act, SEBI LODR, and AIF regulations.
Documentation & Filing:
- Draft and alter the Memorandum of Association (MOA) and Articles of Association (AOA).
- Ensure timely annual disclosures of Directors and maintain statutory registers under Companies Act, 2013.
- Coordinate with regulatory authorities like ROC, MCA, SEBI, RBI, Stock Exchanges, Depositories, and Consultants.
- File and certify ROC and other forms for group portfolios and client companies (PCS certification).
Contract Management:
- Draft, review, and negotiate a wide range of commercial contracts and agreements.
- Identify risks in contract documents and propose viable mitigations.
- Provide legal advice on commercial transactions, analyzing potential risks and advising clients.
Stakeholder Management:
- Manage relationships and processes with internal teams and external stakeholders.
- Provide clear, concise communication to clients regarding compliance requirements and legal obligations.
Eligibility
Qualification: Graduate, preferably with an MBA or equivalent
Experience: Minimum 5 years of post-qualification experience
Salary/Stipend
