Details of the Job/Internship
DVS Advisory Group is looking for a candidate for the position of Compliance Manager.
Role and Responsibilities
- Corporate Governance & Compliance: Ensure compliance with Companies Act, SEBI regulations, and other statutory regulations applicable to listed companies.
- Board and Shareholder Management: Organize, prepare agendas, and maintain minutes of Board and General Meetings. Provide legal, financial, and strategic advice to the Board.
- SEBI & Stock Exchange Compliance: Handle compliance related to SEBI (LODR) Regulations, Insider Trading Regulations, and disclosures to stock exchanges.
- Legal & Secretarial Functions: Prepare and file statutory returns and other documents with regulatory authorities, including ROC, MCA, SEBI, and RBI and contract management.
- Group Company Structuring & Compliance: Oversee secretarial and legal compliance for group companies, including managing cross-border legal entities and joint ventures.
- Due Diligence & Regulatory Filings: Manage compliance audits and due diligence reports for mergers, acquisitions, and other corporate actions.
- Stakeholder Engagement: Liaise with internal and external stakeholders, including regulators, lawyers, auditors, and investors.
- Advisory Role: Provide strategic advisory on company law, corporate restructuring, and new regulatory updates affecting the group.
Eligibility
- Qualified Company Secretary (ACS/FCS) and a Law Graduate with a minimum of 10 years of relevant experience.
- Prior experience working with listed companies is mandatory.
- In-depth knowledge of SEBI Regulations, Companies Act, and other corporate laws.
- Proven track record in managing group companies and multi-jurisdictional compliance.
- Strong communication and interpersonal skills, with the ability to interact at all levels, including Board members and external stakeholders.
- Excellent organizational skills and attention to detail.
- Ability to handle confidential information with integrity and professionalism.
Salary/Stipend
