Stride Ventures is hiring for the position of Compliance Officer with 5-10 years of experience to join their office in Ahmedabad.
Role and Responsibilities
1. Regulatory & Statutory Compliance
- Ensure rigorous day-to-day compliance with regulations set forth by SEBI, IFSCA (GIFT City), FEMA, RBI, and other relevant Indian regulatory bodies.
- Manage and monitor offshore fund structures, ensuring strict compliance with applicable laws in the UK, Singapore, GCC, and any upcoming jurisdictions.
- Proactively monitor and stay abreast of changes in regulatory frameworks across all operational jurisdictions, advising internal stakeholders on potential implications and necessary adjustments.
- Maintain comprehensive statutory records, filings, and compliance calendars, coordinating effectively with internal teams and external advisors.
2. Fund & Investment Compliance
- Oversee the end-to-end compliance for all VC/PE/AIF (Venture Capital/Private Equity/Alternative Investment Fund) entities across various jurisdictions.
- Draft and meticulously review all fund documentation, including Private Placement Memorandums (PPM), Limited Partnership Agreements (LPAs), and side letters, from a strict compliance perspective.
- Ensure full AML/KYC (Anti-Money Laundering/Know Your Customer) compliance for all investor onboarding processes, including offshore Limited Partners (LPs).
3. Governance & Risk Management
- Provide strategic advice to the leadership team on potential legal risks, regulatory exposure, and the implementation of required controls.
- Maintain robust internal compliance systems, registers, and dashboards to track and report compliance status.
- Implement and enforce policies and procedures to ensure the highest standards of governance practices, aligned with global benchmarks.
4. Offshore Entity Management
- Coordinate seamlessly with fund administrators, legal counsel, and tax advisors across multiple international jurisdictions.
- Efficiently file and track all compliance-related documents and timelines for offshore SPVs (Special Purpose Vehicles) and fund entities.
- Ensure timely and accurate regulatory reporting to both local and offshore regulators (e.g., MAS, FCA, FSRA, CMA, etc.).
Eligibility
- Dual Qualification is Mandatory:
- Company Secretary (CS)
- Bachelor of Laws (LLB)
- 5 to 10 years of relevant work experience specifically in compliance/legal functions within VC/PE/AIF firms or fund administration setups.
- Strong practical experience in offshore fund compliance across key jurisdictions including the UK, Abu Dhabi (ADGM), Singapore (MAS), and Riyadh (CMA).
- Prior exposure to GIFT City regulations and IFSCA will be a strong advantage.
- Sound understanding of the entire fund lifecycle, term sheets, and capital structuring.
