Details of the Job/Internship

Advocate Atul Sharma is hiring a Compliance, Regulatory & Contract Manager with 6–10 years of experience to join their office in Gurugram, Haryana. This is a full-time role focused on managing technology and software contracts, ensuring compliance with Indian laws applicable to IT and SaaS companies, handling regulatory risk, data protection obligations, and corporate governance, while supporting business teams with practical, business-aligned legal advice.

Role and Responsibilities

• Draft, review, negotiate, and manage software licensing agreements, SaaS agreements, MSAs, SOWs, NDAs, vendor agreements, API and integration agreements, and reseller, distributor, and partnership agreements.
• Ensure enforceability and compliance under the Indian Contract Act, 1872.
• Identify and mitigate contractual risks relating to intellectual property, data protection, liability, indemnity, limitation of liability, and payment terms.
• Provide contract support to sales, procurement, and business teams.
• Ensure compliance with Indian laws including the Information Technology Act, 2000, Digital Personal Data Protection Act, 2023, Companies Act, 2013, FEMA, RBI regulations, labour laws, and intellectual property laws.
• Develop and implement internal compliance frameworks, policies, and standard operating procedures.
• Conduct periodic compliance audits and risk assessments.
• Track and advise on regulatory changes impacting software and IT companies.
• Lead data protection, privacy, and cybersecurity compliance.
• Draft and review privacy policies, terms of use, data processing agreements, and consent frameworks.
• Coordinate with IT and security teams for incident response, breach management, and regulatory reporting.
• Act as a point of contact for regulators, auditors, and external counsel on data protection matters.
• Support corporate governance requirements, including board resolutions, statutory filings, and regulatory disclosures.
• Assist with legal due diligence for investments, mergers, acquisitions, and strategic partnerships.
• Liaise with external counsels, auditors, and consultants.

Eligibility

• LL.B. qualification.
• LL.M., diploma, or certification in compliance, IT law, or corporate law is preferred.
• 6–10 years of relevant experience.
• Experience in software, SaaS, IT, or technology-focused legal roles.
• Exposure to cross-border contracts and foreign clients is preferred.
• Prior experience as a legal manager, compliance manager, or contract manager is preferred.
