Details of the Job/Internship

SRS Acquiom is hiring a Contract Review Attorney with experience of 2-5 years to join their remote team.

Role and Responsibilities

• Review transaction documents including merger, asset, or stock purchase agreements, escrow and paying agent agreements, allocation spreadsheets, and ancillary agreements to understand post-closing rights and obligations.
• Conduct second-level review of data entered to ensure accurate reflection of rights and obligations in the proprietary database.
• Confirm accurate recording of standard deal points such as deal size, transaction type, indemnification obligations, covenants, representations, and warranties.
• Answer deal-term and contract interpretation queries from internal stakeholders.
• Follow up to obtain additional documents for accurate recording of deal points.
• Assist the Compliance Team with designated tasks and execute special projects as assigned.

Eligibility

• Graduated from an accredited law school.
• Licensed attorney with a strong academic record.
• 2-5 years of M&A experience with a major law firm or in-house corporate law department.
• Advanced knowledge of Microsoft Office (Excel, Word).
• Strong analytical, organizational, and confidentiality standards.
• Ability to manage multiple tasks under tight deadlines and work independently in a remote environment.
• Legally authorized to work in the United States without visa sponsorship.

Salary/Stipend
