Details of the Job/Internship
Curriculum Associates is hiring a Contracts Counsel with 5–8 years of experience to lead commercial contracting efforts from their Bengaluru.
Role and Responsibilities
- Lead the drafting, reviewing, and negotiating of a wide range of commercial agreements across the US, India, Australia, and Ireland.
- Serve as the subject matter expert for SaaS and technology agreements, identifying and mitigating material risks.
- Manage and mentor a team of Contracts Specialists, overseeing talent development and quality of output.
- Act as a strategic partner to Sales, Finance, and Procurement to ensure deal closures align with company risk tolerance.
- Refine contracting workflows and support the optimization of the Contract Lifecycle Management (CLM) system.
- Maintain and update contract templates and playbooks to reflect evolving global legal standards.
- Conduct legal research on cross-border risk issues and coordinate with external counsel when necessary.
- Ensure all commercial transactions comply with US federal/state contractor requirements and international laws.
Eligibility
- LL.B. (or equivalent) from a recognized institution; licensed to practice in India and/or the US.
- 5–8 years of relevant experience in commercial contracting (In-house or Law Firm).
- Mandatory: Prior experience managing or mentoring legal/contracts professionals.
- Demonstrated expertise in negotiating Technology and SaaS agreements.
- Preferred: Experience in a Global Capability Center (GCC), shared services, or multinational environment.
- Comprehensive knowledge of global contracting laws, specifically US federal and state requirements.
- Strong ability to translate complex legal advice into actionable guidance for non-legal stakeholders.
