Details of the Job/Internship

Curriculum Associates is hiring a Contracts Counsel with 5–8 years of experience to lead commercial contracting efforts from their Bengaluru.

Role and Responsibilities

• Lead the drafting, reviewing, and negotiating of a wide range of commercial agreements across the US, India, Australia, and Ireland.
• Serve as the subject matter expert for SaaS and technology agreements, identifying and mitigating material risks.
• Manage and mentor a team of Contracts Specialists, overseeing talent development and quality of output.
• Act as a strategic partner to Sales, Finance, and Procurement to ensure deal closures align with company risk tolerance.
• Refine contracting workflows and support the optimization of the Contract Lifecycle Management (CLM) system.
• Maintain and update contract templates and playbooks to reflect evolving global legal standards.
• Conduct legal research on cross-border risk issues and coordinate with external counsel when necessary.
• Ensure all commercial transactions comply with US federal/state contractor requirements and international laws.

Eligibility

• LL.B. (or equivalent) from a recognized institution; licensed to practice in India and/or the US.
• 5–8 years of relevant experience in commercial contracting (In-house or Law Firm).
• Mandatory: Prior experience managing or mentoring legal/contracts professionals.
• Demonstrated expertise in negotiating Technology and SaaS agreements.
• Preferred: Experience in a Global Capability Center (GCC), shared services, or multinational environment.
• Comprehensive knowledge of global contracting laws, specifically US federal and state requirements.
• Strong ability to translate complex legal advice into actionable guidance for non-legal stakeholders.
