Al-Mheiri Advocates & Legal Consultants L.L.C is hiring a Corporate Associate to join their office in Dubai.
Role and Responsibilities
- Assist in drafting, reviewing, and negotiating a wide range of corporate documents, including mergers and acquisitions (M&A), joint venture agreements, shareholder agreements, and corporate governance documents.
- Provide legal advice on corporate structuring, business formation, and regulatory compliance.
- Conduct legal due diligence for corporate transactions and identify potential risks and liabilities.
- Advise clients on corporate governance issues, including board resolutions, general meetings, and directors’ duties.
- Assist with company incorporations, restructuring, and winding up processes.
- Liaise with regulators and relevant authorities, including handling filings and regulatory submissions.
- Ensure compliance with local and international corporate regulations and laws.
- Collaborate with internal teams to provide legal support for cross-border transactions.
- Research and stay updated on corporate law changes, and provide proactive advice to clients.
- Draft legal opinions and provide sound legal advice to clients with corporate and commercial matters.
- Attend client meetings and maintain strong client relationships.
Eligibility
- Bachelor’s degree in Law (LLB or equivalent). A Master’s degree or LLM is a plus.
- Admission to a recognized bar association.
- One or more years of post-qualification experience (PQE) in corporate law, preferably in a law firm or legal department.
- Strong knowledge of corporate laws, regulations, and governance practices.
- Experience in handling M&A transactions, joint ventures, and other corporate deals.
- Excellent legal drafting and negotiation skills.
- Strong research, analytical, and problem-solving abilities.
- Excellent communication and interpersonal skills, with the ability to work effectively in a team and independently.
- Ability to manage multiple projects and meet deadlines.
- Proficiency in legal research tools and Microsoft Office Suite.
