Details of the Job/Internship
KnowledgeWorks Global Ltd. is hiring a Corporate Attorney with 5–10 years of experience to assist the CJK legal team in supporting the organisation’s global corporate activities.
Role and Responsibilities
- Support corporate activities for CJK Group’s global legal entities.
- Lead contract drafting, administration, and contract management solution development.
- Monitor and support the legal contract intake process.
- Assist legal and sales teams in responding to customer proposals.
- Develop and maintain the company’s master contract framework and enterprise-level MSAs.
- Draft and update templates such as MSAs, SOWs, DPAs, NDAs, and Licensing Agreements.
- Ensure internal consistency across contracts while accommodating business unit requirements.
- Provide legal guidance during negotiations involving nonstandard clauses or regulatory concerns.
- Ensure compliance with privacy and data protection requirements including GDPR, CCPA, and ISO 27001.
- Draft and negotiate DPAs and related exhibits.
- Review and refine licensing and intellectual property clauses.
- Coordinate with internal stakeholders to align legal terms with operational needs.
- Monitor legal and regulatory developments affecting service contracts, IP licensing, and AI/data usage.
- Train business units on contracting procedures and risk protocols.
- Manage external counsel for specialized matters.
- Upload executed contracts and tag key provisions for search functionality.
- Maintain accurate contract records, version control, and renewal schedules.
- Respond to routine customer requests and summarize agreements.
- Support or lead negotiations for contract renewals.
- Track contract deliverables, deadlines, and obligations.
- Maintain centralized contract databases or CRM systems.
- Prepare standard sales agreement templates and streamline contracting processes.
- Conduct due diligence and contract review for acquisitions.
- Support the CJK legal team and Chief Legal Officer.
Eligibility
- Licensed Attorney with strong academic credentials.
- Minimum 5 to 10 years of legal experience supporting U.S. company operations.
- Experience in U.S. corporate, commercial, or contract law preferred.
- Knowledge of corporate governance and regulatory frameworks preferred.
- Strong contract law and drafting skills.
- Strong organizational and document-tracking abilities.
- Experience with tools such as Monday.com, Ironclad, and Contractworks preferred.
- High attention to detail, professionalism, and confidentiality.
- Ability to prioritize, meet deadlines, and work under pressure.
- Strong interpersonal skills and ability to work in a global team environment.
Salary/Stipend
