Details of the Job/Internship
Mandhar & Associates is hiring a Corporate Compliance Professional to join their office in Chandigarh.
Role and Responsibilities
- Incorporation of companies and LLPs and handling post-incorporation statutory compliances and conversion of LLPs into companies.
- Corporate constitutional amendments including alteration of object clauses, change of name, and modification of MOA and AOA.
- Handling director-level actions including appointment, resignation, cessation, and MCA filings.
- Managing capital-related corporate actions such as rights issue of shares, issue of debentures, and increase in authorized and paid-up share capital.
- Handling share transfers, transmissions, and gift transfers with complete documentation, board approvals, and statutory filings.
- Procuring ISIN and coordinating with depositories and registrar and transfer agents.
- Drafting and finalizing board resolutions, shareholders' resolutions, search reports, and statutory compliance certificates.
- Drafting and reviewing transactional and property documents including gift deeds, sale deeds, lease deeds, partnership deeds, reconstitution deeds, and loan agreements.
- Handling annual return filings and periodic compliance obligations under the Companies Act, 2013.
- Managing foreign direct investment compliance including FC-GPR, FC-TRS, and annual FLA return filings with RBI.
- Registration and periodic maintenance of Legal Entity Identifier for entities engaged in global financial transactions.
Eligibility
- Demonstrable working knowledge of the Companies Act, 2013, applicable rules, and MCA21 portal operations.
- Experience in corporate secretarial practice with exposure to the full lifecycle of statutory filings.
- Proficiency in legal drafting, documentation, and compliance reporting.
- Working knowledge of financial statement finalization and direct tax compliance will be preferred.
