Lam Research is hiring a Senior Legal Counsel & Company Secretary with experience of 12+ years to join their office in Bengaluru.
Role and Responsibilities
- Serve as the primary legal partner for the India business, advising on corporate, commercial, and regulatory matters.
- Draft, review, and negotiate complex technology, licensing, and distribution agreements, including cross-border contracts.
- Manage high-level corporate actions such as M&A, joint ventures, capital structuring, and entity rationalization.
- Act as the Company Secretary for Indian entities, ensuring compliance with the Companies Act, 2013, SEBI, FEMA, and RBI regulations.
- Organize and execute Board, Committee, and General Meetings, including the preparation of agendas and minutes.
Eligibility
- Bachelor of Laws (LLB) from a premier university and enrollment with the Bar Council of India.
- Qualified Company Secretary (ACS / FCS) and a member of the Institute of Company Secretaries of India (ICSI).
- 12+ years of Post-Qualification Experience (PQE), with significant in-house experience in an MNC.
- Extensive experience in cross-border transactions and global compliance frameworks.
- Proven ability to engage effectively with Boards and C-suite executives.
