Details of the Job/Internship
Fluence is hiring a Corporate Counsel with 3–5 years of experience to join their office in Bangalore.
Role and Responsibilities
- Lead corporate governance and secretarial compliance for Fluence’s Indian entity, including filings, registers, documentation, board meetings, minutes, resolutions, and annual submissions.
- Coordinate statutory audits, filings, director appointments, governance frameworks, and delegation-of-authority processes.
- Oversee entity management, intercompany documentation, share issuances, capital infusions, and intercompany loans.
- Implement and maintain a centralized entity and compliance tracking system.
- Ensure alignment with headquarters governance policies, subsidiary controls, and internal audits.
- Draft, review, and negotiate commercial contracts such as NDAs, procurement contracts, SaaS agreements, and intercompany service arrangements.
- Provide regulatory support on licensing, approvals, and registrations.
- Offer practical legal advice aligned with company policies and risk appetite.
- Support legal and compliance projects involving process improvements, template standardization, and technology adoption, including AI-based contract review tools.
- Assist in compliance training and policy implementation across APAC.
- Support data protection, ethics, and corporate conduct initiatives.
- Manage stakeholder relationships with internal teams, senior leadership, external counsel, auditors, and regulatory bodies.
Eligibility
- LL.B degree and registered Company Secretary (ICSI).
- 3–5 years of corporate experience in a multinational corporation or law firm.
- Experience in corporate governance and cross-border entity management.
- Strong understanding of Indian corporate law.
- Excellent communication and stakeholder-management skills.
- Highly organized with strong attention to detail.
- Commitment to ethics, compliance, and safety.
- Based in Bangalore with occasional travel.
