Freshworks is hiring a Corporate & Employment Counsel with 6–9 years of experience to join their office in Bengaluru.
Role and Responsibilities
- Corporate:
- Oversee and monitor Board of Directors’ activities, ensuring compliance with statutory guidelines, the Companies Act, and applicable governance laws.
- Ensure timely convening and lawful conduct of the Annual General Meeting (AGM) and other statutory meetings.
- Oversee accurate and timely filing of statutory returns and regulatory submissions, including those to the MCA and other regulators.
- Organize and manage Board and committee meetings end-to-end, including issuing notices, preparing agendas, drafting resolutions, recording minutes, and coordinating access to records for auditors or inspectors.
- Employment:
- Provide expert legal advice on recruitment, onboarding, performance management, exits, benefits, and contractual workforce matters.
- Monitor labour law developments across APMEA and advise the business accordingly.
- Draft, review, and update employment agreements, offer letters, separation agreements, and HR policies in compliance with Indian and global employment laws.
- Manage personnel-related investigations and disputes, including POSH-related matters.
- Ensure compliance with labour laws, POSH, anti-retaliation, whistleblower, and data privacy regulations such as GDPR and CCPA.
- Collaborate with HR to develop policies, conduct training, and implement regulatory requirements.
- Support initiatives to promote positive employee relations and maintain an ethical workplace culture.
- Develop and implement scalable policies, processes, and training programs aligned across regional HR teams.
Eligibility
- Education: LL.B. from a recognized university and Company Secretary (ICSI).
- Experience: 6–9 years in corporate and employment counsel roles within multinational, technology-driven, or public listed companies.
- Expertise in Indian company law, labour and employment law, secretarial practices, and major international regulatory frameworks.
- Experience drafting, negotiating, and interpreting commercial and employment contracts and governance documents.
- Strong background in board governance, statutory compliance, and regulatory filings.
- Exposure to cross-border compliance and multi-jurisdictional workforce management.
- Experience advising leadership and HR teams on employee relations, investigations, policies, and regulatory changes.
