Details of the Job/Internship

S&A Law Offices ("S&A") is hiring for the position of Corporate Law Associate with 5+ years of experience to join their office in New Delhi. 

Role and Responsibilities

• Extensive knowledge and hands-on experience with various corporate laws, including the Companies Act, Contract Act, Societies Act, FCRA, and FEMA regulations, with particular expertise in FDI, ODI, ECBs, and managing related transactions, secretarial compliance, and regulatory filings.
• Practical understanding of SEBI regulations, including listing compliance and filings under SEBI LODR, ICDR, SAST, PIT, and other listing obligations.
• Organizing and conducting board and shareholders meetings, preparing agendas, minutes, and other statutory documents in compliance with applicable laws and regulations.
• Conducting legal and regulatory due diligence for both listed and unlisted companies.
• Handling mergers and acquisitions, private equity deals, and related corporate transactions.
• Drafting, reviewing, and negotiating key transaction documents such as term sheets, share purchase agreements, share subscription agreements, shareholders’ agreements, and loan agreements.
• Providing legal opinions and advisory services on a wide range of corporate and regulatory issues.
• Experience or exposure to matters under the Insolvency and Bankruptcy Code (I&B Code) will be an added advantage.

Eligibility

Experience:

• Minimum 5 years of relevant experience in corporate legal practice.

Education:

• Company Secretary (CS) qualification is mandatory.
• LLB degree is preferred.

Salary/Stipend

Compensation details will be finalized during the interview process with the selected candidate.
