Details of the Job/Internship
S&A Law Offices is hiring a Corporate Law – Sr. Associate/Principal Associate with over 4 years of experience to join their office in East of Kailash, Delhi.
Role and Responsibilities
- Comprehensive knowledge and experience in corporate laws including Companies Act, Contract Act, Societies Act, FCRA, and FEMA regulations, with focus on FDI, ODI, and ECBs.
- Experience in managing transactions, secretarial compliance, and regulatory filings.
- Working knowledge of SEBI laws and listing compliance including filings under SEBI LODR, ICDR, SAST, PIT, etc.
- Conducting board and shareholders’ meetings and preparing relevant documentation.
- Due diligence on listed and unlisted entities.
- Handling mergers and acquisitions, private equity transactions, etc.
- Drafting, reviewing, and negotiating transaction documents including term sheets, SPAs, SSAs, SHAs, loan agreements, etc.
- Drafting legal opinions and advisories on various laws.
- Knowledge and experience under the I&B Code is an added advantage.
Eligibility
- CS qualification (mandatory).
- LL.B. (preferred).
- Minimum 4 years of relevant experience.
Salary/Stipend
