Details of the Job/Internship
ADG Online Solutions is hiring for the position of Corporate Lawyer & Company Secretary with 5-8 years of experience to join their office in Delhi.
Role and Responsibilities
Corporate Governance & Compliance
- Ensure end-to-end compliance with the Companies Act, 2013, SEBI, FEMA, RBI, and other applicable regulations.
- Maintain statutory registers, records, and filings with regulatory bodies.
- Advise the Board on corporate governance practices and legal obligations.
- Conduct secretarial audits and compliance due diligence.
Board & Committee Meetings
- Schedule and manage Board, Committee, and Shareholders’ meetings.
- Draft agendas, resolutions, minutes, and statutory reports.
- Ensure timely dispatch of meeting notices and maintain precise documentation.
Legal & Regulatory Compliance
- Draft, review, and negotiate contracts, MoUs, NDAs, and company policies.
- Advise on legal risks, regulatory requirements, and compliance matters.
- Liaise with external legal counsel, government authorities, and regulatory agencies.
- Stay updated with changes in laws and ensure implementation across operations.
Litigation & Dispute Resolution
- Represent the company in legal proceedings, arbitrations, and settlements.
- Coordinate with external legal advisors and manage litigation strategy.
- Draft legal notices, responses, and settlement agreements.
Mergers, Acquisitions & Corporate Transactions
- Assist in corporate restructuring, M&A transactions, and due diligence.
- Conduct legal risk assessments and research for corporate deals.
- Draft and vet transaction documents, shareholder/investment agreements.
Stakeholder & Investor Relations
- Serve as a liaison for shareholders, investors, and regulatory authorities.
- Ensure corporate transparency and manage investor communication channels.
Eligibility
Educational Qualification:
- Qualified Company Secretary (CS) from ICSI.
- LLB from a recognized university (LLM is an added advantage).
Experience:
- 5 to 8 years in corporate legal practice, secretarial compliance, and contract management.
Technical Skills:
- Strong command over the Companies Act, SEBI regulations, FEMA, corporate governance, and compliance norms.
- Excellent drafting, analytical, and negotiation skills.
- Familiarity with litigation, arbitration, and dispute resolution.
- Exposure to international business laws and cross-border transactions (preferred).
- Proficiency in MS Office, compliance software, and legal research tools.
