Details of the Job/Internship
ClayWorks is hiring a Corporate Lawyer with experience of 4–8 years to join their office in Bengaluru. The role involves managing corporate, commercial, and contractual legal matters, ensuring compliance with applicable laws, and enabling business growth while acting as a strategic legal partner to leadership and cross-functional teams and balancing risk management with business practicality.
Role and Responsibilities
- Draft, review, negotiate, and manage commercial contracts including client agreements, vendor and supplier contracts, service agreements, NDAs, MOUs, and SLAs, ensuring they are commercially sound, legally compliant, and aligned with business objectives while maintaining the contract lifecycle including renewals, amendments, and closures.
- Draft and review lease agreements, leave and license agreements, amendments, and addendums, support legal due diligence for new properties, acquisitions, and expansions, and liaise with external counsel on property-related registrations and documentation.
- Ensure compliance with the Companies Act, corporate governance norms, and statutory filings, support board processes including resolutions, minutes, and shareholder documentation, and track statutory obligations, filings, and compliance calendars.
- Identify legal risks and provide practical legal advice, support leadership in evaluating legal implications of new initiatives, and develop and enforce internal legal policies and standard operating procedures.
- Manage disputes, notices, and legal claims, coordinate with external counsels on litigation, arbitration, and regulatory matters, and track case status, documentation, and legal spend.
- Advise HR on employment law, labour compliance, disciplinary matters, and terminations, draft and review HR policies and employee contracts, and ensure compliance with labour laws and regulatory requirements.
- Collaborate with Sales, Finance, Procurement, HR, and Operations teams, enable faster deal closures through standardisation of legal templates and playbooks, and act as the single point of contact for internal legal queries.
Eligibility
- LLB (LLM preferred).
- 4–8 years of experience in corporate legal roles (in-house or law firm).
- Prior experience in real estate, infrastructure, hospitality, or coworking is a plus.
- Strong exposure to contract drafting, negotiation, and compliance.
- Excellent drafting and negotiation skills.
- Strong understanding of Indian corporate and commercial laws.
- Ability to balance legal risk with business practicality.
- Strong communication and stakeholder management skills.
- High attention to detail with a solution-oriented mindset.
