Details of the Job/Internship
EBG Group is hiring a Legal Counsel/Corporate Lawyer with 7–12 years of experience to join their office in Hyderabad.
Role and Responsibilities
- Draft, review, and finalize Joint Venture Agreements, LOIs, MOUs, Franchise and FOCO/FOFO Agreements, Vendor and Service Agreements, Leasing/Licensing Agreements, Employment Contracts, NDAs, Term Sheets, and Addendums.
- Negotiate terms with partners, vendors, and external parties.
- Ensure legal documents align with business models, risk parameters, and compliance guidelines.
- Provide legal support for new ventures, acquisitions, franchising, and partnership expansions.
- Conduct legal due diligence and risk assessments for JV partners and land or asset acquisitions.
- Review commercial terms and identify legal risks in proposed deals.
- Manage stamping, notarization, digital executions, and record-keeping.
- Ensure compliance with Indian company law, contract law, FDI norms, and sector regulations.
- Monitor contract renewals and ensure timely updates.
- Coordinate with external law firms on disputes and litigation.
- Draft responses to notices, demand letters, and arbitration communications.
- Advise leadership on legal risks and mitigation strategies.
- Develop standard templates for various divisions.
- Train internal teams on legal clauses, compliance, and execution processes.
- Maintain a central repository of agreements and legal documents.
Eligibility
- LLB / LLM from a reputed law college.
- 7–12 years of experience in corporate legal roles, preferably in conglomerates, real estate, retail, franchising, or manufacturing.
- Experience working with founders or leadership teams is an added advantage.
- Strong knowledge of Contract Law, Company Law, Real Estate Law, JV structuring, and commercial contracts.
- Strong drafting, negotiation, communication, and risk assessment skills.
- Ability to work in a fast-paced, multi-business environment.
- Exposure to FOCO/FOFO models and franchising agreements is preferred.
