Details of the Job/Internship

QpiAI is seeking a highly diligent, business-oriented Corporate Lawyer to support the organization’s legal, compliance, and transactional needs.

Role and Responsibilities

• 1. Contract Drafting & Negotiation
• Draft, review, and negotiate a wide range of corporate agreements, including vendor contracts, NDAs, joint venture agreements, partnership agreements, and constitutional documents (bylaws, articles of incorporation, etc.).
• Ensure all contracts protect organizational interests and comply with applicable laws.
• 2. Capital Markets & IPO Documentation
• Draft and manage IPO-related documents such as the Red Herring Prospectus, offering circulars, underwriting agreements, depository agreements, and escrow arrangements.
• Lead securities due diligence and oversee regulatory filings, compliance, and transaction structuring associated with capital market transactions.
• 3. Mergers & Acquisitions
• Conduct legal due diligence, support deal structuring, draft transaction documentation, and oversee coordination through closing.
• Advise on regulatory and strategic implications of M&A activities.
• 4. Regulatory & Compliance Advisory
• Provide ongoing legal guidance relating to securities laws, corporate governance, IP, employment, tax, and industry-specific obligations.
• Ensure organizational compliance with local, national, and international regulatory frameworks.
• 5. Corporate Governance
• Advise the board and senior management on governance best practices, fiduciary duties, disclosures, and reporting obligations.
• Assist in developing effective governance structures and internal controls.
• 6. Risk Mitigation
• Identify and manage legal risks across business operations, offering proactive, business-aligned solutions.
• Support dispute avoidance and resolution strategies.
• 7. Representation & External Coordination
• Represent the company in legal proceedings, arbitrations, regulatory meetings, and negotiations.
• Coordinate with external counsel to manage specialized or high-stakes matters.
• 8. Intellectual Property Support
• Assist with trademark, copyright, patent, and trade secret matters, ensuring protection of organizational IP assets.
• 9. Cross-Functional Collaboration
• Work closely with Finance, HR, R&D, Operations, and other departments to align legal strategy with business goals.
• Provide legal support for internal projects, transactions, and operational decisions.
• 10. Leadership & Mentorship
• Guide and mentor junior legal team members.
• Act as a strategic thought partner for the executive leadership team.

Eligibility

• JD, LLB, or equivalent legal degree with valid bar admission or relevant legal license.
• 7–10 years of experience in corporate law, with exposure to law firms or in-house environments.
• Strong background in capital markets, securities law, and IPO transactions.
• Proven expertise in corporate, contract, securities, M&A, compliance, and IP law.
• Exceptional drafting, negotiation, analytical, and communication skills.
• Strong project management capabilities with an ability to handle multiple priorities and tight timelines.
• High ethical standards, sound judgment, and the ability to maintain confidentiality.

Salary/Stipend
