Details of the Job/Internship
Quick Clean Laundry Systems is hiring a Corporate Lawyer to join their office in Gurugram.
Role and Responsibilities
- Corporate Governance: Advice on compliance with corporate governance practices, including the preparation of board meeting minutes, shareholder communications, and corporate filings.
- Mergers & Acquisitions (M&A): Assist with structuring, negotiating, and drafting documents for M&A deals. Perform due diligence and regulatory compliance checks.
- Contracts: Draft and negotiate commercial contracts (e.g., service agreements, supply contracts, licensing agreements).
- Compliance and Risk Management: Guide businesses on adherence to laws, regulations, and industry standards, ensuring that the company’s practices minimize legal and financial risk.
- Intellectual Property (IP): Advice on protecting intellectual property, including patents, trademarks, and copyrights.
- Dispute Resolution: Represent the company in legal disputes, whether through negotiation, settlement, or litigation.
- Employment Law: Address labor and employment issues, including hiring, terminations, and workplace policies.
- Financing and Securities: Assist with the structuring of capital, debt offerings, securities regulations, and related filings.
Eligibility
- Strong knowledge of corporate law, commercial transactions, and contract negotiation.
- Experience in handling compliance and corporate governance matters.
- Excellent research and analytical skills.
- Effective written and verbal communication skills.
- Ability to work independently and collaboratively with internal teams.
- Attention to detail and organizational skills.
- Legal degree (LLB or JD) from a recognized institution.
- qualified company secretary from ICSI.
- Membership in the Bar Council of India.
- Legal Research and Analysis: Ability to research and analyze complex legal matters related to corporate governance, securities, and transactions.
- Negotiation Skills: Strong negotiating skills to facilitate business agreements and resolve disputes effectively.
- Contract Drafting: Ability to draft clear, precise, and enforceable agreements.
- Understanding of Corporate Structures: Knowledge of various corporate structures,
- Regulatory Knowledge: Understanding of the regulatory landscape for corporate law, including SEBI rules, antitrust laws, and international regulations.
- Client Management: Ability to manage client relationships and communicate legal advice in a way that’s accessible and practical for non-lawyers.
