Details of the Job/Internship
Unimarks Legal is hiring a Corporate Lawyer with 5+ years of experience to join their office in Chennai.
Role and Responsibilities
- Draft, review, and negotiate commercial agreements including service contracts, vendor agreements, NDAs, MoUs, employment contracts, and licensing agreements.
- Provide legal advisory on corporate governance, regulatory compliance, and business operations.
- Manage secretarial work such as board resolutions, minutes, and statutory records (if applicable).
- Ensure compliance with the Companies Act, labour laws, data protection norms, and other relevant regulations.
- Manage due diligence for mergers, acquisitions, investments, and corporate transactions.
- Draft replies to legal notices and coordinate with external counsels for litigation-related matters.
- Conduct risk assessments and guide internal teams on preventive legal measures.
- Draft internal policies, SOPs, and legal guidelines.
- Represent the company during negotiations with clients, partners, and regulatory authorities.
- Stay updated with amendments in corporate, commercial, and regulatory laws.
Eligibility
- Bachelor’s or Master’s degree in Law (LLB/LLM).
- Minimum 5 years of corporate legal experience in a law firm or corporate legal department.
- Strong knowledge of corporate law, contract drafting, compliance, and commercial advisory.
- Understanding of Companies Act, contract law, commercial laws, basic IP laws, labour laws, and arbitration procedures.
- Experience handling due diligence, negotiations, and corporate transactions.
- Strong research, drafting, documentation, and analytical abilities.
- Excellent verbal and written communication skills.
- High level of integrity, professionalism, and confidentiality.
- Ability to manage multiple assignments with attention to detail.
