Details of the Job/Internship
Yaclass is hiring an In-House Corporate Legal Counsel with 3+ years of experience to provide end-to-end corporate, commercial, and HR legal support.
Role and Responsibilities
- Labour & HR Legal:
- Support the employment lifecycle: offers, onboarding, probation, confirmations, resignations, terminations, and settlements.
- Draft and maintain templates: Offer Letters, Employment/Consulting/Internship Agreements, NDA/PIIA, Non-solicit/Non-compete, MSA/SOW.
- Implement policies: Code of Conduct, POSH, Leave & Attendance, Disciplinary, IT/Device Use, Remote/Hybrid Work, Whistleblower, Grievance.
- Advise managers, HR, and team heads on employment matters.
- Liaise with authorities and regulators and adapt policies to evolving laws.
- Corporate Governance & Secretarial:
- Assist in governance matters, including drafting/reviewing MoA, AoA, SHA, ESOPs, and related documents.
- Maintain charter documents, statutory registers, and minute books.
- Prepare board/shareholder resolutions and approvals.
- Support share issuances and coordinate with auditors and chartered accountants.
- Commercial & Daily Business:
- Advise internal teams (Marketing, Sales, Product) on legal compliance.
- Draft and review commercial agreements such as partnerships and rental contracts.
- Additional Advantageous Experience:
- Personal Data Protection: Draft and review T&Cs, notices, and consents; maintain data protection registries and policies; respond to customer claims.
- Consumer Protection: Draft/amend product-related legal documents, advise on customer issues, and ensure compliance.
- Intellectual Property: Assist with trademark registration, copyright/IP matters, and review IP agreements.
Eligibility
- LL.B. degree (mandatory); LL.M./Company Secretary or diplomas in Labour Law/Data Protection are a plus.
- 3+ years of post-qualification experience in Labour Law, Corporate Governance, and Commercial Law.
- Knowledge of IP, Data Protection, and Consumer Protection laws is an advantage.
- Strong analytical, reasoning, communication, and negotiation skills.
- Proficiency in English (written & spoken); Tamil/Hindi desirable.
- Ability to work in hybrid mode, mostly remote with occasional on-site presence in Chennai.
Salary/Stipend
