Details of the Job/Internship
Teceze is seeking a Corporate Legal Counsel who will provide legal support to the organization by reviewing, drafting, and negotiating key agreements, including Master Service Agreements (MSA), Statements of Work (SOW), employment contracts, and other corporate agreements. The role involves ensuring legal compliance, mitigating risks, and providing strategic legal guidance to various business units.
Role and Responsibilities
Contract Review and Drafting:
- Review, draft, and negotiate contracts, including MSAs, SOWs, employment agreements, vendor contracts, and partnership agreements.
- Ensure that all contractual terms align with company policies and objectives while mitigating potential legal and operational risks.
- Address confidentiality, intellectual property rights, liability, indemnity, and other critical contractual clauses.
Legal Compliance:
- Ensure compliance with applicable laws, regulations, and industry standards across jurisdictions.
- Monitor updates in relevant laws and regulations that may impact the organization and advise on necessary changes.
- Assist in maintaining data privacy and compliance with regulations such as GDPR, HIPAA, or other region-specific frameworks.
Dispute Resolution and Risk Management:
- Address potential disputes arising from agreements or business activities.
- Proactively identify risks and propose mitigation strategies in contractual arrangements and corporate dealings.
- Work with external counsel where necessary to manage litigation or arbitration processes.
Corporate Governance:
- Support the organization in maintaining good corporate governance practices.
- Provide legal input on policy-making and strategic decision-making.
- Assist in the drafting and review of board resolutions, corporate policies, and other governance documents.
Employment and Labor Law:
- Draft and review employment agreements, non-disclosure agreements (NDAs), and non-compete clauses.
- Ensure employment contracts comply with relevant labor laws and company policies.
- Advise HR and leadership on employment law matters, including terminations, benefits, and employee disputes.
Statement of Work (SOW) Management:
- Work with project and account teams to draft and review SOWs that clearly define deliverables, timelines, payment terms, and performance metrics.
- Ensure alignment of SOWs with MSAs and other overarching agreements.
Cross-Functional Collaboration:
- Collaborate with internal teams (e.g., procurement, HR, finance, and operations) to ensure contracts and policies support business objectives.
- Provide training and guidance to teams on legal aspects of contract management and compliance.
Documentation and Record Management:
- Maintain an organized repository of all legal documents, contracts, and agreements.
- Ensure accurate documentation of approvals, amendments, and renewals.
Special Projects:
- Provide legal support for mergers, acquisitions, partnerships, or other strategic initiatives.
- Conduct due diligence for potential business transactions.
Eligibility
- Bachelor’s Degree in Law (LLB) or equivalent.A
- Master’s in Law (LLM) or specialization in corporate law is preferred.
- Admission to a recognized Bar Association or equivalent legal body.
- 5+ years of experience in corporate law, contract law, or a similar field, preferably within a multinational or large enterprise.
- Demonstrated experience in drafting and negotiating MSAs, SOWs, and employment contracts.
- Strong analytical, negotiation, and drafting skills.
- Excellent communication and interpersonal abilities.
- Proficiency in legal research tools and contract management software.
- Ability to manage multiple projects and deadlines simultaneously.
Salary/Stipend
