Details of the Job/Internship

Ocelots is hiring a Legal Counsel/Corporate Lawyer with 7–12 years of experience for a full-time, on-site role in Hyderabad. 

Role and Responsibilities

• Draft, review, and finalize agreements including JV Agreements, LOIs, MOUs, FOCO/FOFO Agreements, franchise contracts, supplier/vendor/service agreements, leasing/licensing agreements, employment contracts, NDAs, term sheets, and addendums.
• Negotiate contract terms with external parties, partners, and vendors.
• Provide legal support for business expansions, acquisitions, franchising, and partnerships.
• Conduct legal due diligence and risk assessments for JV partners and land/asset acquisitions.
• Manage stamping, notarization, digital signature execution, and record-keeping.
• Ensure compliance with Indian company law, contract law, FDI norms, and sector-specific regulations.
• Coordinate with external law firms on disputes, notices, and litigation matters.
• Draft responses to legal notices, demand letters, and arbitration notices.
• Provide proactive legal advice to leadership on risk and mitigation strategies.
• Develop standard contract templates and educate internal teams on legal clauses and compliance processes.
• Maintain a central database of all agreements and legal documentation.

Eligibility

• LLB / LLM from a reputed law college.
• 7–12 years of experience in corporate legal roles, preferably in diversified conglomerates, real estate, retail, franchising, or manufacturing.
• Experience in drafting and negotiating complex agreements.
• Exposure to FOCO/FOFO models, franchising, and operations agreements preferred.
• Strong knowledge of contract law, company law, and JV structuring.
• Excellent negotiation, communication, attention to detail, and risk assessment skills.
