BluRidge supports clients with complex, high-stakes deals requiring precise legal and financial structuring. The firm operates on a smart engagement model with a junior associate handling clerical work and the senior legal partner managing high-level legal strategy.

Details of the Job/Internship

BluRidge is hiring a Senior Corporate Legal Counsel (Retainer) to serve as the firm’s External General Counsel, focusing on high-level transactional documents and cross-border compliance. 

Role and Responsibilities

• Draft, vet, and finalize transaction agreements, including SHAs, SSAs, and Loan Agreements.
• Create complex agreements from scratch where templates are insufficient.
• Review drafts prepared by junior staff or counterparties for accuracy and enforceability.
• Ensure all clauses, including indemnity and exit rights, are properly structured before signing.
• Provide FEMA advisory, including oversight of FC-GPR and FC-TRS filings.
• Advise on deal structuring for NRI and foreign investor transactions.
• Identify and mitigate commercial risks such as liquidation preference, anti-dilution, and tag-along/drag-along rights.
• Join high-level negotiation calls with investors or their counsel as required.

Eligibility

• Candidates must meet one of the following:
• CS + LL.B with minimum 3 years’ experience in corporate/transactional law.
• LL.B from a top-tier NLU or equivalent with minimum 3 years’ experience (preferably Tier-1 firm exposure).
• LL.B with minimum 5+ years’ experience in fundraising, M&A, and deal structuring.
• Additional fit indicators:
• Independent practitioners with bandwidth for a steady retainer.
• FEMA experts with experience in FDI/ODI transactions.
• Professionals who have closed at least 5–10 fundraising deals.

Salary/Stipend
