Details of the Job/Internship

CARS24 is hiring a Legal Counsel with a minimum of 5 years’ experience in M&A, debt transactions, and equity capital raising.

Role and Responsibilities

• Draft, structure, negotiate, and execute M&A transactions including share purchases, asset sales, joint ventures, and business transfers.
• Advise on deal structures, negotiations, valuations, warranties, indemnities, and post-transaction integration.
• Manage the complete M&A cycle from LOI to closing, including investment structuring and founder equity arrangements.
• Provide legal advice on cross-border transactions, regulatory approvals, and tax structuring.
• Counsel on exit strategies and draft exit clauses in investment agreements.
• Lead post-transaction integration and governance compliance.
• Draft, review, and negotiate debt financing transactions including syndicated loans, term loans, WCDL, OD, STRL, and restructuring agreements.
• Review and negotiate loan agreements, security documents, guarantees, and ancillary contracts.
• Advise on intercreditor agreements and debt restructuring initiatives.
• Support IPO preparations by drafting key prospectuses, listing agreements, and underwriting contracts in compliance with SEBI and stock exchange regulations.
• Advise on PE and VC fundraising including drafting investment agreements, term sheets, and shareholders’ agreements.

Eligibility

• Bachelor’s degree in Law (LL.B) from a recognized university.
• Minimum 5 years of experience in M&A, debt transactions, and capital raising at a Tier 1 or reputed law firm.
• Strong knowledge of corporate, securities, and financial laws including Companies Act, SEBI regulations, FEMA, and RBI guidelines.
• Proven experience in drafting and negotiating complex transaction documents.
• Excellent research, analytical, and problem-solving skills.

Salary/Stipend
