Details of the Job/Internship

Rx100 Ventures is hiring a Corporate Legal Counsel with 3+ years of experience to join its team in Bengaluru. The role involves supporting investments, corporate structuring, and high-value arrangements, drafting and negotiating key corporate and investment agreements, supporting private equity and investment transactions, conducting legal and regulatory research, leading negotiations, advising on corporate governance and compliance, managing due diligence and regulatory filings, and ensuring alignment with applicable laws and regulatory requirements.

Role and Responsibilities

• Independently draft and structure shareholders’, share subscription, share purchase, and other high-value commercial agreements.
• Support private equity and investment transactions, including deal structuring and documentation.
• Conduct legal and regulatory research for compliance and strategic positioning.
• Lead negotiations with opposing counsel and external advisors.
• Provide legal advisory on corporate governance, structuring, and compliance matters.
• Collaborate with internal and external stakeholders on due diligence, regulatory filings, and transaction closures.

Eligibility

• Minimum of 3+ years of experience as a Legal Counsel in private equity and corporate law matters.
• Proven drafting experience of SHA, SSA, SPA, and other transactional agreements.
• LLB from a recognised institution.
• LLM or specialisation in corporate or international law is preferred.

Salary/Stipend
