Details of the Job/Internship

CSM Technologies is hiring a Legal and Compliance professional with experience of 7 to 10 years to join their office.

Role and Responsibilities

• Ensure compliance with SEBI regulations, including LODR, ICDR, and PIT.
• Manage continuous disclosures, material event reporting, insider trading controls, and the Structured Digital Database.
• Oversee regulatory filings with SEBI and stock exchanges on a quarterly, half-yearly, and annual basis.
• Act as the primary liaison with stock exchanges and regulatory authorities.
• Draft, review, and negotiate commercial, vendor, client, and partnership agreements.
• Handle litigation, regulatory matters, and disputes with external counsel.
• Provide legal advice on corporate, commercial, mergers and acquisitions, joint ventures, and strategic transactions.
• Ensure compliance with data protection, intellectual property, and technology-related laws.
• Lead the legal and compliance team, manage external advisors, and control legal budgets.
• Promote ethical practices, strong governance, and a strong compliance culture across the organisation.

Eligibility

• LLB or LLM qualification.
• 7 to 10 years of experience in corporate legal and compliance roles.
• Experience in an IT, ITES, or technology services company or a reputed law firm handling technology clients.
• Strong expertise in SEBI laws, securities compliance, and stock exchange regulations.
• Proven experience in regulatory filings, disclosures, and exchange communications.
• Excellent drafting and negotiation skills.
• Experience managing litigation, regulatory inquiries, and external legal counsel.
• Ability to advise senior leadership and the Board on strategic legal matters.
• Strong leadership, communication, and stakeholder management skills.
• High attention to detail, integrity, and a strong risk management orientation.
