Asia Law Offices (ALO) represents a progression and consolidation of the practice of experienced senior lawyers from the diverse fields of corporate, commercial advisory and M&A, dispute resolution including international commercial arbitration, regulatory and insolvency services, and tax, finance and structuring advice.
Details of the Job/Internship
Asia Law Offices is hiring a Corporate Legal Associate with 2–3 years of experience to join their office in Delhi on a full-time basis.
Role and Responsibilities
- Conduct review of documents as part of legal due diligence and prepare due diligence reports.
- Draft and review documents such as share purchase agreements, shareholders agreements, share transfer agreements, and investment agreements.
- Draft, vet, and negotiate JV agreements, strategic partnerships, and infrastructure/project-related documents including RFQs/RFPs, concession agreements, EPC contracts, O&M agreements, and other tender-related documentation.
- Manage and negotiate non-standard commercial contracts, including technology/IP licensing, business transfer agreements, procurement agreements, vendor agreements, franchise agreements, sponsorship agreements, and sub-contracting agreements.
- Emphasis on risk assessment and sound business/legal judgment.
- Draft legal opinions and memoranda on complex regulatory matters.
Eligibility
Minimum 2–3 years of experience in advising on legal corporate matters.
