Details of the Job/Internship

Consertus, Inc. is hiring a Corporate Paralegal with experience of 3+ years to support global entity management, corporate governance, and cross-functional legal operations. The role offers significant responsibility, exposure across departments and regions, and involves building efficient entity management and compliance processes.

Role and Responsibilities

• Lead global entity management, including formations, registrations, amendments, mergers, conversions, dissolutions, and withdrawals.
• Ensure all jurisdictions remain in good standing through timely statutory filings, licenses, and compliance obligations.
• Maintain accurate entity data, organizational charts, and governance documentation.
• Prepare and maintain board and shareholder resolutions, minutes, and written consents.
• Coordinate board meetings, annual meetings, notarization, apostillisation, and legalization requirements.
• Partner with tax, treasury, and finance teams on entity structuring and intercompany documentation.
• Support M&A, joint ventures, restructuring transactions, and post-closing obligations.
• Coordinate with external counsel, registered agents, and regulatory authorities.
• Identify process improvements and develop standard operating procedures for entity management.
• Serve as the primary point of contact for entity-related compliance and governance matters.

Eligibility

• 3+ years of experience in entity management, compliance, or legal operations.
• BS/BA from an accredited university preferred; equivalent work experience considered.
• Proficiency with Microsoft Office Suite.
• Working knowledge of corporate governance principles and statutory compliance requirements preferred.
