Details of the Job/Internship
Graviton Research Capital is hiring a Corporate Paralegal with experience of 5–8 years to join their team in Singapore. This is a high-impact, hybrid role supporting the firm’s contracting workflow and corporate secretarial obligations.
Role and Responsibilities
- Draft, review, and negotiate Non-Disclosure Agreements and standard commercial contracts using established playbooks, and prepare fallback positions for deviations from pre-approved language.
- Undertake initial drafting and redlining of routine agreements and corporate documentation, highlighting material changes and managing version control.
- Prepare and maintain corporate documentation, including statutory registers, minute books, and resolutions.
- Coordinate compliance with statutory obligations under the Singapore Companies Act and ACRA, including annual returns and share transfers.
- Prepare board and shareholders’ resolutions.
- Act as the primary point of contact for KYC/AML requests from banks, prime brokers, and trading exchanges.
- Collaborate with regulators, legal advisors, and internal teams across APAC and other regions to ensure effective inter-entity relationships and global structuring.
- Maintain accurate, centralised, and audit-ready statutory records and legal templates through a digital-first approach.
Eligibility
- Minimum 5–8 years of experience as a Corporate Paralegal or Corporate Secretary, preferably within Financial Services, FinTech, or Private Equity.
- Strong hands-on experience in NDA negotiation and template-based contracting, with the ability to identify non-standard terms independently.
- ACIS/CSIS (Chartered Secretary) qualification is highly preferred.
- In-depth understanding of the Singapore Companies Act; familiarity with MAS-regulated environments is an advantage.
- Exceptional drafting skills with the ability to communicate complex legal or governance matters to senior stakeholders and global partners.
- A degree in law, business, or a related discipline.
