Hitachi Digital is seeking an experienced and highly motivated Corporate Paralegal to join it’s highly collaborative and global Legal and Compliance Team, to manage the administration of Hitachi Digital’s global legal entities and to assist with all aspects of international subsidiary management, corporate entity regulatory compliance, administrative maintenance and monitoring/record-keeping.
Role and Responsibilities
- Manage all aspects of international subsidiary management, legal entity governance administration, and support compliance within the corporate obligations of Hitachi Digital and its subsidiaries. Manage and provide oversight and support in the records and data integrity of all information about US and international subsidiaries.
- Support various corporate administrative processes, including preparing resolutions for subsidiary formation, dissolution, director and officer changes, banking resolutions, delegations of authority, powers of attorney, and share register updates
- Create, maintain, and oversee annual compliance calendar for entities globally, coordinating with and working alongside internal and external stakeholders to ensure compliance with all necessary formalities (e.g., board meetings, record updates, filing of annual accounts) including obtaining notarizations, apostilles, formation documents, certified copies, corporate filings, and other corporate documents
- Update and maintain group organization charts including preparing limited-scope organization charts to be certified and distributed for specific purposes
- Assist the Company Secretary and Legal & Compliance Team to ensure that all companies are in good standing and comply with all necessary formalities, including board meetings and timely filing of annual accounts
- Maintain electronic corporate minute books and records
- Assist in the development, implementation, and management of entity management technology, guidelines, policies, and procedures
- Assist with other legal entity governance-related projects, as may be necessary from time to time including M&A transactions and venture investments, entity integration, rationalization, and wind-downs. Manage and oversee various filings related to mergers, divestitures, name changes, qualifications, withdrawals, etc.
- Coordinate with cross-functional teams, including finance, tax, sales operations, audit, and others around the world, and work alongside the Legal & Compliance team to provide support to the corporate legal function.
Eligibility
- Associate of Arts degree or higher.
- At least three to five years of corporate paralegal experience, either in a law firm or legal department, working with legal entity management systems, subsidiary governance, and group entity planning.
- Forming, dissolving, and maintaining legal entities across the globe.
- Corporate drafting, including resolutions, consents, certificates, charters, by laws.
- Strong working knowledge of legal entity management systems (Athennian, CSC, Diligent Entities or similar).
- Registered agent database (CSC Navigator or similar).
- Electronic records and document management.
- High proficiency in MS Office applications (e.g., Word, Excel, PowerPoint, Teams).
- Paralegal certificate (desirable).
- Notary public qualification (desirable).
- Familiarity with SEC filings and forms (desirable).
