Details of the Job/Internship
Kroll is hiring a Corporate Paralegal to join their corporate governance team. The role involves working closely with internal firm service colleagues and business teams to manage corporate entity compliance, including filings, records, beneficial ownership disclosures, and governance processes.
Role and Responsibilities
- Maintain corporate records and minute books, including annual management and ad-hoc requests such as director and officer appointments or terminations, powers of attorney, and beneficial ownership registers.
- Collaborate with outside vendors and internal teams on corporate filings, license registrations, and renewals.
- Assist with SEBI reporting and compliance frameworks.
- Manage and maintain legal files and records.
- Support due diligence processes for clients and communicate with stakeholders for required information.
- Oversee secretarial and legal compliance activities.
- Monitor regulatory changes, advise on compliance, and support corporate transactions, board, and committee processes.
- Respond to requests from auditors, regulators, and other stakeholders.
- Build and manage effective working relationships across all organizational levels.
- Ensure corporate records and data integrity.
Eligibility
- Bachelor’s degree or equivalent in a business-related field.
- 1-3 years of experience in legal or compliance.
- Ability to interpret and understand corporate legal documents.
- Strong verbal and written communication skills.
- Proficiency in Microsoft Office applications.
- Familiarity with corporate records such as certificates of formation, operating agreements, minutes, and resolutions.
- Ability to multitask, prioritize, and meet deadlines in a fast-paced environment.
- Comfortable interacting with executives and senior management.
- Strong problem-solving skills and ability to work autonomously and collaboratively.
