Details of the Job/Internship

Scale LLP is hiring a Corporate Paralegal with 3+ years of experience to join their remote team.

Role and Responsibilities

• Facilitate corporate governance and recordkeeping matters, including preparing materials for board and committee meetings.
• Create and maintain client minute books and handle annual filings with relevant governmental agencies.
• Coordinate corporate approvals, draft resolutions, consents, and agreements, and manage electronic signatures.
• Maintain client capitalization tables using equity management tools, including Carta.
• Manage stock option grants and other stock-based compensation processes, including grant notices and option exercises.
• Maintain calendars for corporate entity and regulatory filings.
• Assist with contract review and coordination with outside counsel, including maintaining legal templates such as NDAs and employment agreements.
• Manage projects across various initiatives and maintain virtual data rooms for clients.

Eligibility

• Minimum 3 years of paralegal experience in a corporate law setting at a law firm.
• Bachelor’s or associate’s degree, or completion of a paralegal program of study.
• Paralegal certificate required where mandated, or commensurate experience where certification is not required.
• Proven ability to take initiative, manage projects, and improve processes independently and within a team.
• Strong analytical skills with attention to detail and ability to apply legal advice to business needs.
• Excellent interpersonal and communication skills with professionalism and integrity.
