Details of the Job/Internship

Disney Star is hiring for the position of Counsel for the Mumbai office.

Role and Responsibilities

Role:

• work closely with Disney-Star on strategic alliances, joint ventures and investments, and key media rights acquisitions.
• Draft and negotiate investment agreements, media rights deals, network-level relationships with technology platforms, and advise on business growth, mergers and strategic partnerships throughout the Disney Star ecosystem.

Key Responsibilities:

• Business Advisory for JV, Investments, Strategic Partnerships and Media Rights Acquisitions with strategic or network level impact.
• Investment Preparation, Negotiation, and Drafting of Investment Documents (Shareholders’ Agreements, Share Purchase Agreements, etc.).
• Documentation for Key Partnerships, Strategic Bids, Media Rights Acquisitions and other Strategic Network Level Initiatives.
• Negotiating Prime Positions for the Disney-Star Entities.
• Optimising the structuring of the resulting Entities.
• Maximising Value by Acquiring Key Rights for The Disney-Star Entity
• Analyzing and advising on Key Media Rights Acquisitions (Bilateral Negotiations or Under Invitations To Tender).
• Investing in Research and Consulting on Key Regulatory Issues. Affecting The M&E Sector Or The Disney Star India Industry (Issues such as Anti-trust, Privacy and Data Protection, FDI Policy and Offshore Investment, etc.).
• Developing strategies to reduce the risk of regulatory risk to our businesses while keeping operational efficiency and maximizing revenues.

Eligibility

Qualification:

• The candidate should have 6-8 years of experience working in general corporate and banking/finance transactions (minimum 3-4 years at tier 1 law firms).
• High level of drafting and research skills.
• A deep understanding of the media/entertainment sector and the regulatory environment.
• Experience managing media/broadcast matters and media rights agreements.
