Details of the Job/Internship

EZY Laws Advocates and Corporate Legal Advisors is hiring for the position of CS & Compliance with 3 years of experience to join their office in Mumbai Metropolitan Region.

Role and Responsibilities

Compliance

• Ensure compliance with:
• Companies Act, 2013 & Secretarial Standards
• AIF Regulations, 2012
• SEBI Merchant Bankers Regulations
• Insolvency & Bankruptcy Code (IBC), 2016
• SEBI LODR, Takeover Code, Insider Trading, Issue of Capital & related SEBI regulations

Corporate Governance & Meetings

• Act as Compliance Officer of AIF (if required)
• Organize and conduct Board, Committee, General Meetings & CoC meetings under IBC
• Draft Notices, Agendas, Minutes, Directors’ Reports, and Corporate Governance Reports
• Draft/alter MOA & AOA; maintain statutory registers and disclosures

Regulatory & Filings

• Coordinate with ROC/MCA, SEBI, RBI, Stock Exchanges, Depositories, RTA, bankers, and consultants
• File and certify (PCS certification) various ROC and other statutory forms for group, portfolio, and client companies
• Ensure compliance with AIF filings and annual disclosures

Contracts & Advisory

• Draft, review, and negotiate a wide array of commercial contracts and agreements
• Identify risks in contract documents and propose practical mitigations
• Provide legal analysis of commercial transactions and advise clients on regulatory aspects

Stakeholder Management

• Build and manage effective relationships with internal teams and external stakeholders
• Review internal policies under Companies Act, SEBI, and AIF regulations, and recommend updates

Eligibility

• Qualification: Company Secretary (CS); CS + LL.B. preferred.
• Experience: Minimum 3 years of post-qualification experience.
