Details of the Job/Internship
Ensemble Infrastructure India Ltd is hiring a Company Secretary & Compliance Officer with a minimum of 7 years of experience to join their dynamic team. The role involves ensuring compliance with statutory and regulatory requirements, maintaining corporate governance standards, and advising the board of directors on legal and ethical practices.
Role and Responsibilities
- Stay updated on laws, regulations, and guidelines impacting company operations.
 - Develop, implement, and monitor compliance frameworks and procedures.
 - Conduct compliance audits and assessments to mitigate risks.
 - Guide the board of directors on corporate governance best practices.
 - Prepare materials for board and committee meetings.
 - Ensure accurate and timely statutory and regulatory filings.
 - Maintain corporate records, minutes, resolutions, and legal documents.
 - Facilitate communication between board, management, and shareholders.
 - Identify legal and compliance risks and implement mitigation strategies.
 - Collaborate across departments for risk awareness.
 - Conduct training sessions on compliance-related matters.
 - Update teams on legal and regulatory changes affecting business.
 
Eligibility
- Certified Company Secretary.
 - Minimum 7+ years of post-qualification experience.
 - Strong knowledge of regulatory compliance, M&A corporate actions, investor servicing, AGM/EGM & Postal Ballot handling.
 - Expertise in policy reviews, Insider Trading Regulation compliance, and material event awareness.
 - Strong influencing and collaboration skills with senior leaders.
