Ensemble Infrastructure India Ltd. is hiring a Company Secretary & Compliance Officer with 7+ years of experience to join their team.
Role and Responsibilities
- Stay updated on relevant laws, regulations, and guidelines.
- Develop, implement, and monitor compliance frameworks and procedures.
- Conduct compliance audits and assessments.
- Guide the board on corporate governance best practices.
- Organise and prepare materials for board and committee meetings.
- Assist in developing and implementing corporate policies and procedures.
- Ensure accurate and timely statutory and regulatory filings.
- Maintain corporate records, including minutes, resolutions, and legal documents.
- Facilitate communication between the board, management, and shareholders.
- Identify and assess compliance and legal risks.
- Develop and implement risk mitigation strategies.
- Collaborate with departments to understand potential risks.
- Conduct training sessions on compliance matters and keep teams informed of regulatory changes.
Eligibility
- Certified Company Secretary.
- Minimum 7+ years of post-qualification business partnering experience.
- Strong understanding of regulatory compliance, corporate actions for M&A, investor servicing, AGM/EGM and postal ballot handling, policy reviews, insider trading regulations, and material event awareness.
- Strong influencing skills and ability to collaborate with senior leaders across functions.
