Details of the Job/Internship
CarDekho Group is seeking an experienced and strategic Deputy General Counsel to join our dynamic legal team. The ideal candidate will play a key role in managing legal aspects of mergers & acquisitions (M&A), corporate transactions, contract management, litigation, intellectual property rights (IPR), and regulatory compliance. This is a unique opportunity for a highly motivated legal professional to contribute to the growth and expansion of the company as we enter a critical phase in our corporate evolution.
Role and Responsibilities
Mergers & Acquisitions (M&A):
- Oversee and manage all legal aspects of M&A activities, including due diligence, transaction structuring, negotiation of agreements, and post-transaction integration.
- Collaborate with business teams and external advisors to ensure smooth execution of M&A strategies.
Corporate Transactions & IPO Execution:
- Lead the legal execution of corporate finance transactions, including equity and debt financing, joint ventures, and other strategic initiatives
- Drive the legal execution of the IPO process, including drafting and reviewing prospectuses, filing necessary regulatory documents, and managing investor relations from a legal standpoint.
- Ensure compliance with securities regulations and listing requirements, facilitating a seamless transition to a publicly traded company.
- Advise on corporate restructuring and equity financing strategies as the company prepares for its IPO.
Contract Management:
- Draft, review, and negotiate complex commercial agreements, including vendor agreements, partnership contracts, licensing, and service agreements.
- Implement best practices for contract management, ensuring contracts align with the company’s business objectives and risk tolerance.
Litigation Management:
- Oversee and manage litigation and dispute resolution processes.
- Work closely with external counsel to mitigate legal risks, including pre-litigation settlements and alternative dispute resolution methods.
Intellectual Property Rights (IPR):
- Protect and manage the company’s intellectual property portfolio, including patents, trademarks, copyrights, and trade secrets.
- Collaborate with internal stakeholders to ensure compliance with IP laws and monitor any potential infringements.
- Regulatory Compliance and Corporate Governance:Ensure compliance with applicable legal and regulatory requirements, including those related to data privacy, consumer protection, and corporate governance as CarDekho transitions to a public company.
- Advise on and oversee corporate governance matters, board communications, and shareholder engagement post-IPO.
- Team Leadership and Collaboration:
- Work closely with the General Counsel to develop and execute the company’s legal strategy.
- Provide legal guidance and leadership to internal teams across departments, ensuring alignment with business goals.
- Manage and mentor junior legal team members as needed.
Eligibility
- LL.B. or equivalent from a recognized law school; additional qualifications (LL.M., MBA) are a plus.
- 12-15 years of relevant legal experience, preferably with exposure to M&A, corporate transactions, and IPO preparation.
- Strong knowledge of corporate governance, securities law, and regulatory frameworks.
- Experience working in a high-growth company/ private equity/ technology sector startup is highly desirable.
- Proven experience managing litigation, intellectual property portfolios, and complex commercial contracts.
- Strong leadership, interpersonal, and communication skills, with the ability to work in a fast-paced and evolving environment.
- Strategic thinking and problem-solving abilities.
- Strong business acumen and the ability to align legal solutions with corporate goals.
- Attention to detail and a proactive approach to identifying and mitigating risks.
- Ability to manage multiple priorities under tight timelines.
Salary/Stipend
