Details of the Job/Internship
Knauf India is hiring a Deputy Manager – Legal & Secretarial for its Gurugram office. The role requires 7-8 years of experience in corporate law, compliance, and secretarial practices.
Role and Responsibilities
- Legal Functions:
- Draft, review, and negotiate contracts, agreements, and legal documents.
- Provide legal advice on corporate, commercial, and regulatory matters.
- Ensure compliance with applicable laws, regulations, and industry standards.
- Handle litigation matters, liaise with external legal counsel, and represent the company in legal proceedings.
- Manage legal risks and provide recommendations to mitigate potential liabilities.
- Assist in intellectual property protection, trademark registrations, patent, design registration and licensing agreements.
- Digitization of AR and AP processes.
- Company Secretarial Functions:
- Ensure compliance with Companies Act, 2013, Secretarial Standards, SEBI regulations, RBI, FEMA, and other relevant corporate laws.
- Handle Board Meetings, Annual General Meetings (AGMs), and Committee Meetings – including preparing agendas, minutes, and resolutions.
- Maintain and update statutory registers, records, and filings with regulatory authorities (ROC, MCA, SEBI, etc.).
- Assist in corporate governance, ethics, and compliance frameworks.
- Support in drafting and reviewing policies, SOPs, and governance documents.
- Regulatory Compliance & Risk Management:
- Ensure compliance with statutory filings, including annual returns, financial disclosures, and compliance reports.
- Monitor legal and regulatory developments and provide updates to management.
- Conduct due diligence for mergers, acquisitions, and corporate restructuring activities.
- Develop and implement risk management strategies and corporate policies.
Eligibility
- Company Secretary (CS) qualification (ICSI Membership is mandatory).
- LLB (from renowned Law school mandatory).
- Strong knowledge of corporate laws, securities laws, and regulatory compliance.
- Expertise in contract drafting, negotiation, and legal documentation.
- Excellent communication, interpersonal, and stakeholder management skills.
- Ability to handle multiple legal and compliance issues independently.
- High attention to detail and problem-solving ability.
- Experience 7-8 years
