Lodha Ventures is hiring for the position of Deputy Manager with 4-8 years of experience to join their office in Mumbai.
Role and Responsibilities
NBFC & Regulatory Compliance:
- Ensure adherence to all RBI regulations applicable to NBFCs, including timely submission of NBS returns and other statutory filings.
- Monitor regulatory updates and circulars from RBI and implement necessary changes.
- Manage end-to-end correspondence with RBI, including inspections and resolution of queries.
Alternative Investment Fund (AIF) Compliance:
- Ensure compliance with SEBI (Alternative Investment Funds) Regulations, 2012.
- Prepare and file required reports (Form AIF, compliance test reports, investor disclosures, etc.).
- Coordinate with custodians, fund managers, and investment teams for seamless compliance.
- Maintain governance records for AIFs and assist with SEBI audits and inspections.
- Manage compliance regarding PPM disclosures, side letters, and investor-specific obligations.
Investee Company Governance:
- Oversee governance and regulatory compliance for multiple investee companies.
- Ensure compliance with shareholder agreements and Companies Act requirements.
- Collaborate with legal, finance, and investment teams to address operational compliance issues.
Secretarial & ROC Compliance:
- Organize and manage Board Meetings, Committee Meetings, and General Meetings.
- Draft notices, agendas, resolutions, and maintain statutory records and registers.
- Handle timely filing of statutory forms (AOC-4, MGT-7, PAS-3, DIR-12, etc.) with the ROC/MCA.
- Maintain compliance calendars and ensure statutory compliance under the Companies Act, 2013.
Team Management:
- Lead and mentor junior team members.
- Oversee work allocation, monitor deliverables, and ensure quality and accuracy.
- Provide training and guidance on regulatory and compliance matters.
Eligibility
- Education: Qualified Company Secretary (CS); LLB is preferred.
- Experience: 4–8 years in compliance/secretarial roles, preferably within financial services, NBFCs, AIFs, or investment firms.
- Strong working knowledge of:
- Companies Act, 2013
- SEBI (AIF) Regulations, 2012
- RBI regulatory framework for NBFCs
- FEMA regulations
- Proven experience in board management, ROC filings, and regulatory correspondences.
- Excellent communication, drafting, and documentation skills.
- Proficiency in MS Office; experience with compliance or board management software is a plus.
