Details of the Job/Internship
Finnable is hiring an Associate – General Corporate with 3–5 years of experience to join its compliance team.
Role and Responsibilities
- Draft notices, agendas, explanatory statements, and minutes for Board, Committee, and Shareholder meetings.
- Convene and manage Board and Committee meetings in compliance with the Companies Act, 2013, and Secretarial Standards.
- Maintain statutory registers, records, and filings under applicable laws.
- Prepare and file statutory returns, forms, and disclosures under the Companies Act, SEBI regulations, and other laws.
- Coordinate with government authorities, regulators, auditors, consultants, and internal stakeholders.
- Handle share capital-related compliances and liaise with depositories, RTAs, and stock exchanges.
- Support IPO-related secretarial and regulatory compliances including DRHP, RHP, and listing requirements.
- Manage post-IPO compliances, disclosures, and investor grievance redressal.
- Handle compliance matters relating to acquisitions, restructuring, and cross-border transactions.
- Ensure compliance with FEMA, RBI, and SEBI regulations, including SEBI (LODR), SEBI (ICDR), and SEBI (SAST).
- Develop and implement annual compliance testing plans and conduct internal compliance reviews.
- Report compliance lapses to senior management and the Board.
- Handle legal matters including contracts, litigation, regulatory affairs, and contract management systems.
Eligibility
- Member of the Institute of Company Secretaries of India (ICSI) with a valid membership number.
- 3–5 years of relevant experience in company secretarial and corporate compliance functions.
- Strong working knowledge of the Companies Act, 2013 and Secretarial Standards.
- Operational understanding of SEBI regulations, FEMA, RBI, and share capital compliance.
- Strong drafting, communication, and stakeholder management skills.
- Exposure to IPO compliance and documentation is an added advantage.
