Medanta is hiring for the position of General Manager – Contracts & Agreements (Legal)

Role and Responsibilities

Efficient Contracts Management at the Unit & Group level: - Drafting, reviewing and negotiation of various contracts including but not limited to Lease Agreement, Leave and License Agreement, Master Agreements, Sample Agreements, Service Level Agreements and Memorandum of Understanding etc . Supervising the corporate team to ensure timely and efficient closure of contracts in all units.
Standardization of Agreements at the Unit and Group level: Independently drafting and developing agreement templates for new transactions and operations for use by the legal team in all units.
Strategizing/ Structuring of Agreements: Working closely with the Heal Legal on strategizing/ structuring of agreements for various new transactions, operations and business verticals.
Banking related arrangement: Assist with the review and closure of various banking needs and documentation with the banks like sanction letters, loan agreement, escrow arrangement, etc.
Others arrangements: Arrangements for software license and AI development, real estate, related party transactions, employment & labour matters, POSH matters, CSR matters.
Transactional Work: Assist in various transactions undertaken by the Group like joint venture, collaborations, merger & acquisition, share purchase & shareholders arrangement, operation & management, revenue share arrangements, etc. Includes conducting due diligence and interaction with external legal counsels in this regard.
Risk Assessment, Mitigation and Compliance with Company’s SOPs and applicable laws: Evaluating/ identifying potential risks associated with various transactions at Group Level and aligning all agreements with Company’s SOPs and applicable laws including DPDP and tax laws.Facilitate the development of data protection and privacy (DPDP compliant) related policy framework and implementation.
Day to day advisory: Day to day advisory to the team and various internal stakeholders. Providing guidance, review, supervision, and advice to the team on a daily basis, addressing various issues/ queries
Independent interaction with senior management/ HoDs: Interaction with senior management and internal/ external clients to better understand their requirements, address their queries and ensure smooth resolution and closure.
Leadership, training and team development: Leadership skills to manage a team. Developing/ training various team members.

Eligibility

5 years programme (LLM,LLB) from a reputed college.
12-15 years of experience in relevant areas - Corporate law, Company Law, SEBI rules, Trademark Law, IPR & Labour laws.
An ideal candidate will be someone who find himself/herself meeting below traits:
As an integral member of the Legal team, the candidate must possess Leadership skills to head a team of corporate lawyers.
Excellent drafting, negotiating, articulation, presentation, and communication skills.
Individual must have strong analytical skills and be detail oriented, self-confident and possess the ability to work independently.
S/he must be an enthusiastic, result oriented individual with excellent negotiation and conflict resolution skills.
Should have ability to work effectively with internal Stakeholders / other departments.
